Without question, how to price an MDA is the most crucial facet of the process. An ill-conceived price range can result in shareholder frustration - or company frustration. Price it too high - you will be inundated with tender requests, leading to an inevitable pro-rata return of shares to shareholders. Imagine the backlash of a shareholder tendering 1,500 shares - and having 1,200 returned to them because of an over-subscription pro-rata trigger? Likewise, price it too low, and you'll get no tenders. You sold your Board on 5,000,000 shares through an MDA - and all you get is 25,000 shares tendered.
